3. GENERAL TERMS AND CONDITIONS

Article 1: Applicability 1.1 These General Terms and Conditions apply to all offers, proposals, and agreements between Damarque B.V. ("Contractor") and the Client. 1.2 Deviations from these terms are only valid if agreed upon in writing.

Article 2: Execution of the Agreement (Effort Obligation) 2.1 Damarque B.V. will execute the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship. 2.2 The agreement constitutes an obligation of effort (inspanningsverbintenis) and never an obligation of result (resultaatsverbintenis). Damarque B.V. does not guarantee specific financial results, revenue increases, or business success.

Article 3: Payment Terms 3.1 Payments must be made via the methods offered on the website (Stripe/PayPal/Bank Transfer) or via invoice within the stipulated payment term. 3.2 If the Client fails to pay on time, they are in default by operation of law. Damarque B.V. is entitled to suspend its services immediately.

Article 4: Cancellation & Right of Withdrawal

4.1 For Business Clients (B2B):

The statutory right of withdrawal does not apply to business agreements. Cancellation of booked consulting calls is possible up to 48 hours in advance for a reschedule. Cancellations within 48 hours are non-refundable.

4.2 For Consumers (B2C): Consumers generally have a 14-day right of withdrawal. However, by purchasing digital content (eBooks/Courses) or scheduling a service to be performed immediately, the Client explicitly waives this right once the download has started or the service has been performed.

Article 5: Liability

5.1 Damarque B.V. is only liable for direct damage resulting from an attributable shortcoming in the fulfillment of the agreement.

5.2 Liability for indirect damage, including consequential damage, lost profit, missed savings, and damage due to business stagnation, is excluded.

5.3 The liability of Damarque B.V. is at all times limited to the amount of the invoice for the specific assignment (or the last 3 months of fees for long-term contracts). 5.4 These limitations do not apply in the event of intent or deliberate recklessness (opzet of bewuste roekeloosheid) by the management of Damarque B.V.

Article 6: Intellectual Property All intellectual property rights regarding the materials, strategies, and methods provided by Damarque B.V. remain with Damarque B.V. The Client receives a limited, non-exclusive right to use these for their own business internal purposes only.

Article 7: Applicable Law & Disputes

7.1 All legal relationships to which Damarque B.V. is a party are exclusively governed by Dutch law.

7.2 Disputes will be settled exclusively by the competent court in The Hague (Den Haag).
